By accessing or using the services offered by ERP Online Hub LLC ("EOH," "we," "us," or "our") at erponlinehub.com, you ("Client," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not access or use our services.

You must be at least 18 years of age and have the legal authority to enter into a binding contract to use our services. Our services are intended for business use. By using EOH, you represent and warrant that you meet these requirements.

EOH reserves the right to suspend or terminate accounts that violate these Terms.
All fees are stated in USD unless otherwise specified. By submitting a support request and proceeding to payment, you authorize EOH to charge the applicable fees via our secure payment processor (Stripe).
The discovery meeting is a structured scoping session of approximately 60–90 minutes. Following the meeting, EOH will produce a full Analysis Report that includes:
The Analysis Report is the foundational document for any subsequent implementation engagement. Proceeding with implementation constitutes acceptance of the report's scope and cost.
Successful delivery depends on your cooperation. As a Client, you commit to:
Client-caused delays do not extend or restart refund eligibility timelines. EOH's obligations are suspended for the duration of any delay caused by the Client's failure to meet the obligations above.
EOH assigns consultants based on multiple matching factors including business type, industry, country/region experience, ERP module expertise, technical skills, project type, and verified track record. Consultant assignment is at EOH's sole discretion.
Consultants engaged through EOH are independent professionals. EOH is not liable for consultant actions taken outside the agreed scope. All work is supervised and coordinated by EOH's admin team.
All deliverables produced for your project (reports, configurations, code, documentation) become your property upon receipt of full payment. EOH retains the right to use anonymized, non-identifiable methodologies and general approaches for other engagements.
EOH's platform, AI tools, brand, and underlying technology remain the exclusive property of ERP Online Hub LLC.
EOH treats all client information as strictly confidential. We will not disclose your system details, business processes, credentials, or project information to any third party except:
Consultants are required to sign confidentiality agreements before being assigned to any project.
To the maximum extent permitted by California law, EOH's total liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.
EOH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
EOH is not liable for system downtime, data loss, or damages caused by your failure to provide accurate information or comply with your client obligations.
You agree to indemnify, defend, and hold harmless EOH, its officers, directors, employees, and consultants from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your infringement of any third-party rights.
Informal Resolution: Before initiating any formal dispute, you agree to contact EOH at legal@erponlinehub.com and attempt to resolve the dispute informally for a period of 30 days.
Binding Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Los Angeles County, California. Each party bears its own arbitration costs unless the arbitrator rules otherwise.
Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration against EOH.
Small Claims: Either party may bring claims in small claims court if the claim qualifies.
EOH may suspend or terminate your access to services at any time with or without notice if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use our services immediately ceases. Fees paid for incomplete services are subject to our Refund Policy.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California for any disputes not subject to arbitration.
