1. Parties

Client
The individual or entity that submits a support request and agrees to these terms by proceeding with a paid engagement via erponlinehub.com.
This Service Agreement ("Agreement") governs all professional consulting engagements between EOH and the Client. By submitting a support request and completing payment, the Client agrees to be bound by this Agreement.
2. Scope of Engagement
Each engagement consists of two phases:
Phase 1 — Discovery (mandatory)
A scoped meeting of 60–90 minutes where EOH consultants analyze the client's systems, issues, and requirements. A written Analysis Report is produced covering: all issues identified, proposed solutions, technical requirements, timeline, and cost. The discovery fee is paid upfront and is non-refundable.
Phase 2 — Implementation (optional, agreed post-discovery)
Execution of the solution as defined in the Analysis Report. The implementation scope, timeline, and fees are agreed in writing before commencement. All delivery is 100% online.
EOH does not commence implementation without a signed or electronically accepted Analysis Report and confirmed payment.
3. EOH Obligations
- Assign a qualified consultant matched to the client's ERP system, industry, country, and module needs
- Deliver the Analysis Report within 5 business days of the discovery meeting
- Execute implementation strictly within the agreed scope defined in the Analysis Report
- Maintain professional standards and confidentiality throughout the engagement
- Provide regular progress updates at agreed intervals
- Deliver all agreed documentation, test results, and handover materials
- Honor the 100% refund guarantee for undelivered scope
- Respond to support communications within 1 business day
- Ensure consultants have signed confidentiality agreements before project access
4. Client Obligations
- Provide accurate, complete, and truthful information about your systems, environment, and requirements
- Grant timely access to all systems, environments, credentials, APIs, and tools required for the agreed work
- Share all relevant existing documentation, configurations, and technical specifications
- Be available and responsive for feedback, approvals, and UAT within agreed timelines
- Ensure system connectivity meets minimum remote access requirements
- Not restrict or interfere with the consultant's ability to perform agreed work
- Keep all project materials, methodologies, and consultant identities confidential
- Not directly contact, solicit, or hire EOH-assigned consultants outside this platform for 12 months
- Notify EOH immediately of any change in scope, system environment, or project requirements
Failure to meet client obligations may result in project suspension without refund liability.
5. Engagement Process
- Request submission: Client submits support request form with full details
- Payment: Discovery fee paid via Stripe — non-refundable
- Consultant matching: EOH admin team selects consultant(s) based on matching criteria
- Discovery meeting: 60–90 minute video session conducted online
- Analysis Report: Full report delivered within 5 business days
- Scope agreement: Client reviews and accepts implementation scope and fees
- Implementation: Work executed online with regular updates
- Delivery: All deliverables provided with documentation and sign-off
6. Fees & Payment Terms
- Discovery fee: Payable at time of request. Non-refundable.
- Implementation fees: As quoted in the Analysis Report. Payable per agreed milestones.
- Payment method: Stripe (credit/debit card). All payments in USD unless otherwise stated.
- Late payment: EOH may suspend work for any outstanding payment beyond 7 business days of due date.
- Taxes: Client is responsible for all applicable taxes in their jurisdiction.
7. Consultant Standards
All consultants in the EOH network are:
- Vetted and approved by EOH before receiving any assignments
- Required to hold relevant certifications for their stated expertise
- Bound by EOH's confidentiality and professional conduct requirements
- Subject to performance review based on client feedback
Consultants are independent contractors, not employees of EOH. EOH coordinates and supervises all engagements and is the responsible service provider for all contractual purposes.
8. Confidentiality & NDA
Both parties agree to maintain strict confidentiality regarding:
- All client system configurations, credentials, business processes, and data
- EOH's methodologies, pricing, and internal processes
- The terms and details of any engagement
This confidentiality obligation survives termination of this Agreement for a period of 5 years. Neither party may disclose the other's confidential information without prior written consent, except as required by law.
9. Deliverables & Acceptance
All deliverables are defined in the Analysis Report. Upon delivery, the client has 10 business days to review and either:
- Accept: Sign off on delivery, triggering final payment obligations
- Reject with cause: Provide specific written objections tied to the agreed scope
Silence beyond 10 business days constitutes acceptance. EOH will address valid objections within 5 business days at no additional cost, provided they fall within the agreed scope.
10. Warranties
EOH warrants that:
- Services will be performed with professional skill and care
- Deliverables will conform to the specifications in the Analysis Report
- Consultants will not infringe any third-party intellectual property rights
EOH does not warrant that:
- Third-party ERP systems will perform as expected after implementation
- Results will be unaffected by client-caused changes after delivery
- Services will meet requirements beyond the agreed scope
11. Non-Solicitation
The Client agrees not to directly solicit, hire, contract with, or engage any EOH consultant — whether as an employee, independent contractor, or through any intermediary — for a period of 12 months following the completion or termination of any EOH engagement.
Breach of this clause entitles EOH to seek liquidated damages equal to the total fees paid in the relevant engagement, plus reasonable legal fees.
12. Entire Agreement
This Agreement, together with our Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between the parties and supersedes all prior communications, negotiations, and understandings. This Agreement may only be modified in writing signed by both parties.
13. Governing Law & Jurisdiction
This Agreement is governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes not resolved by arbitration shall be submitted to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
Both parties waive any objection to personal jurisdiction or venue in Los Angeles County, California.
By submitting a support request and completing payment on erponlinehub.com, the Client acknowledges that they have read, understood, and agree to be bound by this Service Agreement and all referenced policies.
