1. Parties & Relationship
This Task Responsibility Agreement ("Agreement") is entered into between:
- ERP Online Hub ("Platform"), a California-registered platform facilitating ERP consulting services.
- The Consultant or ERP Manager ("Contractor") who digitally accepts this agreement upon creating a task through the ERP Online Hub portal.
- The Client, the business or individual who commissioned the ERP project and associated tasks.
Legal Basis: This agreement is governed by the California Business and Professions Code §17200 (Unfair Competition Law), California Labor Code §3351.5, and the California Freelance Worker Protection Act (SB 988, effective Jan 1, 2025).
2. Scope of Work & Deliverables
By accepting this agreement when creating a task, the Contractor confirms that:
- The task title, description, and requirements submitted accurately describe the scope of work to be performed.
- The estimated hours provided represent a good-faith estimate of the time required to complete the task.
- The Contractor has the skills, licenses, and authority to perform the described work.
- Any deliverables described in the requirements field constitute the agreed-upon output of this task engagement.
- Changes to scope must be communicated through the platform's messaging system and may require a new task or amendment.
⚠️ Contractors must not begin work on tasks where the invoice has not been paid by the client. Commencing work before payment constitutes a waiver of certain payment protections under California law.
3. Compensation & Payment Terms
All compensation is governed by the invoices created within the ERP Online Hub platform. The following terms apply:
- Invoice Requirement: A task invoice must be created by the authorized party and paid by the client before work commences.
- Payment Processing: Payments are processed through the platform's payment system. The Platform may retain a service fee as disclosed in the Contractor Agreement.
- Disputed Hours: If actual hours significantly exceed estimated hours, the Contractor must notify the client through the platform before proceeding. Additional work requires a new task or invoice amendment.
- Non-Payment: Failure to pay a submitted invoice within the due date may constitute a violation of the California Freelance Worker Protection Act (Labor Code §3321 et seq.).
California Freelance Worker Protection Act (SB 988): Effective January 1, 2025, contracts valued at $250 or more (or $250 in a 120-day period) must be in writing. This Agreement, together with the task details submitted on the platform, constitutes that written contract.
4. Intellectual Property
Unless otherwise agreed in writing:
- All work product, configurations, documentation, and deliverables created pursuant to a task become the property of the Client upon receipt of full payment.
- The Contractor retains the right to reference the engagement type (not client details) in their professional portfolio.
- Pre-existing IP (tools, frameworks, methodologies) created by the Contractor prior to this engagement remains the Contractor's property. A non-exclusive license to use such IP as part of the deliverables is granted to the Client.
- Client data accessed during task performance remains confidential Client property and must not be used for any other purpose.
5. Confidentiality
The Contractor agrees to maintain strict confidentiality of:
- All ERP system credentials, connection strings, VPN access, and system configurations shared through the platform.
- Client business data, financials, employee information, and operational details accessed during the engagement.
- Proprietary business processes and competitive information observed during the project.
This confidentiality obligation survives termination of the task engagement for a period of three (3) years.
California Uniform Trade Secrets Act (Civil Code §3426): Unauthorized disclosure of trade secrets may result in civil liability including damages and injunctive relief.
6. Independent Contractor Status
The Contractor acknowledges and agrees that:
- They are an independent contractor, not an employee of ERP Online Hub or the Client.
- They are responsible for their own taxes, insurance, and business expenses.
- They are not entitled to employee benefits including health insurance, retirement plans, or paid leave.
- They have the right to perform services for other clients, provided it does not create a conflict of interest.
California AB 5 / ABC Test: Contractor status is evaluated under California's ABC test. By accepting this agreement, the Contractor confirms they meet the requirements of independent contractor classification under applicable California law.
7. Limitation of Liability
- The Platform's liability for any claim arising from a task engagement is limited to the total fees paid for that specific task.
- Neither party shall be liable for indirect, incidental, consequential, or punitive damages.
- The Contractor is responsible for the quality and accuracy of their work product. Errors that require remediation may be subject to rework at no additional charge as determined by platform dispute resolution.
- The Client is responsible for providing accurate requirements and timely feedback during the client-testing phase.
8. California Legal Compliance
This Agreement is designed to comply with applicable California laws including:
- California Business & Professions Code §17200 — Unfair Business Practices Act
- California Labor Code §3351.5 — Independent contractor provisions
- California Freelance Worker Protection Act (SB 988) — Written contract requirements for freelance work ≥$250
- California Civil Code §3426 — Uniform Trade Secrets Act
- California Consumer Privacy Act (CCPA / CPRA) — Where applicable to client data handled
- California AB 5 — Worker classification (ABC test)
Jurisdiction: Any disputes arising from this Agreement shall be subject to the jurisdiction of the courts of the State of California, County of Los Angeles (or the county in which the Platform's principal office is located).
9. Dispute Resolution
- Platform Mediation (First): All disputes must first be submitted through the ERP Online Hub support system for mediation. The Platform will attempt resolution within 10 business days.
- Binding Arbitration (Second): If platform mediation fails, disputes shall be resolved by binding arbitration under the rules of JAMS (Judicial Arbitration and Mediation Services) in California.
- Small Claims Exception: Either party may pursue claims in California Small Claims Court for disputes under $12,500 without prior arbitration.
- Class Action Waiver: Claims must be brought individually. Class action claims are waived to the extent permitted by law.
10. Digital Acceptance
By checking the "I accept the Task Responsibility Agreement" checkbox when creating a task in the ERP Online Hub platform, the Contractor:
- Acknowledges they have read and understood this Agreement in full.
- Agrees to be legally bound by its terms.
- Confirms the task requirements, estimated hours, and deliverables accurately represent the agreed scope of work.
- Consents to electronic signature and digital acceptance as legally equivalent to a handwritten signature under California Civil Code §1633.1 et seq. (California Uniform Electronic Transactions Act — CUETA).
California Uniform Electronic Transactions Act (CUETA — Civil Code §1633.1): Electronic signatures and records are legally valid and enforceable in California.
⚠️ This digital acceptance is recorded with a timestamp, the Contractor's account ID, and the specific task details at the time of acceptance. This record is maintained by ERP Online Hub and may be used as evidence in dispute resolution proceedings.
